Direct Chat Conversation: User Terms and Conditions Effective Date: November 1, 2025 These Terms and Conditions (“Terms”) govern your access to and use of the Direct Chat Conversation platform, including any content, functionality, and services offered on or through the platform (the “Service”), provided by Media Trailblazing ("we," "our," or "us"). 1. Acceptance of Terms By clicking "I Agree," creating an account, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. 2. The Service The Direct Chat Conversation platform is designed to connect Users (Clients) with Vendors (Businesses) for direct, real-time, and bulk communication. We provide the platform infrastructure; however, we are not responsible for the content, quality, or legality of communications, services, or products offered or exchanged between Users and Vendors. 3. User Registration and Account Security a. Eligibility: You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract with the Company. b. Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. c. Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your password or account. 4. Acceptable Use Policy You agree not to use the Service for any purpose that is prohibited by these Terms or by applicable law. You shall not, and shall not permit any third party to: • Transmit any illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or racially, ethnically, or otherwise objectionable materials. • Engage in spamming, "chain letters," or other unauthorized bulk messaging. • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. • Interfere with or disrupt the integrity or performance of the Service. • Attempt to gain unauthorized access to any portion of the Service or other systems or networks connected to the Service. 5. Vendor Communications and Messaging By initiating or accepting a connection with a Vendor on the Service, you expressly consent to receive communications from that Vendor, which may include individual direct messages, automated responses, and Bulk Campaign Messages (marketing or promotional messages). a. Opt-Out: You understand that you can manage or opt-out of these communications within the Service settings or by taking actions specified by the Vendor (e.g., blocking or disconnecting). b. Content: We are not responsible for the content of messages sent by Vendors. Any issues or disputes regarding content, offers, or services must be resolved directly with the Vendor. 6. Intellectual Property Rights a. Our Rights: The Service, including all design, text, graphics, and other content, is owned by Media Trailblazing and is protected by intellectual property laws. Your use of the Service grants you no right or license to reproduce or otherwise use any of our intellectual property. b. User Content: You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free license to use, host, store, reproduce, and display your User Content solely for the purpose of operating and improving the Service. 7. Disclaimers and Limitation of Liability a. Disclaimers: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranty that the Service will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or be free of viruses or other harmful components. We disclaim all warranties, express or implied. b. Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Media Trailblazing, its affiliates, directors, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses, that result from the use of, or inability to use, this Service. 8. Termination We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if you breach these Terms. You may terminate your account at any time by contacting us, although you will remain liable for any obligations incurred prior to termination. 9. Governing Law These Terms shall be governed by the laws of Kenya, without regard to its conflict of law principles. 10.
